Scottsdale, Ariz., Cyber Enviro-Tech Plans New Subsidiary for Technology Commercialization
Scottsdale, Ariz., Cyber Enviro-Tech, Inc. (OTCQB:CETI), announced plans to form a new wholly owned subsidiary aimed at commercializing specific technologies currently held by the company. This strategic move is intended to unlock the potential value of certain CETI technologies while providing existing shareholders with direct ownership in a new public company.
Under the proposed plan, Cyber Enviro-Tech intends to spin off the new subsidiary as a separate entity and distribute shares of the subsidiary to eligible shareholders in the form of a stock dividend. Shareholders of record on a date to be announced will be eligible to receive shares in the new subsidiary while retaining their existing CETI shares.
Management believes this structure could create additional shareholder value by allowing each company to pursue its own business strategies, financing opportunities, and market development. Specifically, the new subsidiary will focus on the commercialization and development of selected technologies that the company deems well-suited for independent operation.
Once the subsidiary is formed and the necessary corporate, regulatory, and other requirements are met, Cyber Enviro-Tech intends for the new company to pursue a spin-off and seek quotation on the OTCQB Venture Market as an independent publicly traded entity. If successful, existing shareholders who qualify for the distribution would continue to hold their CETI common shares while also receiving shares in the new company.
The proposed transaction is seen as a key step in Cyber Enviro-Tech’s broader strategy to identify opportunities within its technology portfolio that can operate independently while allowing the company to focus on its core environmental remediation and industrial wastewater technologies.
