HOUSTON, Texas, Oct. 12, 2026 /CourierPR/ -- Rantizo, a drone technology company based in Houston, Texas, has completed a significant acquisition, marking a pivotal moment in its growth trajectory. On October 13, 2026, the company will begin trading on the Nasdaq Capital Market under the ticker symbol “RNTZ,” following the completion of its $258.8 million deal to acquire substantially all of SKK Holdings Limited’s drone assets.
The transaction, valued at approximately $258.8 million, primarily comprises newly issued Class A ordinary shares of Rantizo. SKK Holdings, a civil engineering services provider with expertise in subsurface utility works, has sold its drone assets used for precision agriculture, forestry, emergency response, and commercial applications to Rantizo. This move positions Rantizo as a publicly traded drone platform, leveraging the U.S. public capital markets to accelerate commercialization and deepen customer relationships.
In addition to the asset purchase, Rantizo has acquired 1,085,264 Class B ordinary shares from existing holders of SKK Holdings for aggregate cash consideration of $8 million. This acquisition has increased Rantizo’s equity position in the combined company, giving it control over approximately 87% of the issued and outstanding Class A ordinary shares.
To support the integration and growth of the acquired assets, Rantizo has granted certain individuals Class A ordinary shares with an aggregate grant-date value of $12.0 million. These shares were based on the average volume-weighted average price of Rantizo’s Class A ordinary shares over the three trading days prior to the closing of the transaction.
The transaction highlights the strategic importance of combining drone technology with a publicly traded platform.
Following the closing, Rantizo will operate a platform that integrates drone technology and commercial infrastructure across precision agriculture, forestry, emergency response, and broader commercial end markets. The company plans to leverage its new position to accelerate commercialization, deepen customer relationships, and pursue follow-on opportunities as the unmanned aerial systems sector continues to consolidate around scaled operators.
The deal also includes several key agreements and provisions. Rantizo has the right to nominate two directors to the board of Rantizo, consisting of one executive director and one independent director who meets applicable Nasdaq and SEC independence requirements. Additionally, the company has agreed to register the resale of the Consideration Shares under the Securities Act pursuant to a customary registration rights agreement.
To ensure the smooth transition, each director and officer of the company has entered into a six-month lock-up agreement with respect to their company securities. The Consideration Shares and Management Shares are subject to a six-month lock-up following the closing.
The transaction is subject to the terms of the Private Securities Litigation Reform Act of 1995, including statements regarding the expected commencement of trading of the company’s Class A ordinary shares under the ticker symbol “RNTZ,” the satisfaction of post-closing conditions, the board nomination rights, and the expected effects of the transactions on Rantizo’s business and strategic positioning.
