LOS ANGELES, Oct. 12, 2026 /CourierPR/ -- M&A Healthcare Advisors has advised Innovo Detox, a Pennsylvania-based provider of substance use disorder (SUD) treatment and drug and alcohol rehabilitation services, in its sale to R&S Holdings, Inc., a Maryland-based behavioral health organization.

Innovo Detox, founded by Eric Spofford, has built a reputation for clinical quality and patient care in the Pennsylvania SUD treatment market. The company's strong standing made it an attractive acquisition for R&S Holdings, which is dedicated to expanding access to high-quality addiction treatment services across the Mid-Atlantic region.

M&A Healthcare Advisors, a FINRA-licensed investment bank focused on the healthcare industry, led the process. Andre Ulloa, Managing Director, and Mike Abud, Senior Associate, served as the exclusive sell-side advisors. Ulloa highlighted the strategic fit between Innovo and R&S Holdings, noting their shared commitment to the substance use disorder sector.

The transaction required careful structuring to ensure a clean, standalone acquisition. MAHA coordinated a comprehensive diligence process and worked closely with legal counsel on both sides to maintain deal momentum and address issues as they arose. The process was accelerated, and the transaction was successfully closed.

Spofford, the founder of Innovo Detox, expressed satisfaction with the process.

For R&S Holdings, the acquisition adds an established clinical operation to its growing behavioral health platform. Joe Rogers, Co-CEO of R&S Holdings, Inc., emphasized the strategic importance of the deal.

Navigating behavioral health M&A presents unique challenges, from licensing and regulatory considerations to the revenue cycle complexities of commercial insurance reimbursement. Addiction treatment acquisitions in particular require an advisor who understands both the transaction mechanics and the clinical operations behind them. Throughout the process, MAHA worked daily to facilitate communication between the parties and to foster a productive working relationship between buyer and seller.

Innovo Detox, with a strong reputation for patient care and clinical outcomes, will now join R&S Holdings, Inc., in its mission to expand access to high-quality addiction treatment services. The acquisition is expected to enhance the capabilities of both organizations, contributing to the broader goal of improving patient care in the behavioral health sector.
