Berkeley, CA, Sept. 15, 2026 /CourierPR/ -- Profusa, Inc., a digital health company based in Berkeley, California, has received a letter from The Nasdaq Stock Market LLC confirming that it has met the requirements for continued listing on the Nasdaq stock exchange. The company has demonstrated compliance with Nasdaq Listing Rule 5550(a)(2) and Nasdaq Listing Rule 5550(b)(1), which pertain to the bid price and equity rules, respectively.

Despite this positive news, Profusa remains subject to a one-year Mandatory Panel Monitor (Monitoring Period). During this period, the company must continue to meet the equity rule to avoid potential delisting. If Profusa fails to satisfy the equity rule during the Monitoring Period, Nasdaq will issue a delist determination. However, the company will not be given the opportunity to submit a compliance plan. Instead, it will be immediately subject to delisting, which can be appealed by requesting a hearing. Such a request would temporarily halt any further actions by Nasdaq until the hearing is held and any extension granted by the Panel expires.

Profusa intends to continue monitoring its compliance with all applicable Nasdaq continued listing requirements. The company has previously announced the signing of an Option Agreement, which provides it with the right and option, subject to certain conditions, to acquire G3 Vision Labs, Inc. and its subsidiaries. Upon exercising the option, the combined company is expected to operate as a public diagnostics company.

The press release also includes a cautionary statement regarding forward-looking statements. The company notes that certain statements in the release may be considered forward-looking and are subject to risks and uncertainties that could cause actual results to differ materially from those expressed or implied. These risks and uncertainties are detailed in the company's Annual Report on Form 10-K for the year ended December 31, 2025, which is filed with the SEC.

Profusa, Inc. continues to focus on its digital health technologies and its strategic initiatives, including the potential acquisition of G3 Vision Labs. The company remains committed to maintaining its compliance with Nasdaq listing standards and ensuring the continued listing of its shares on the Nasdaq stock exchange.
