On November 5, 2026, Oma Savings Bank Plc held an extraordinary general meeting (EGM) to address several key organizational changes. The meeting, conducted virtually in accordance with Article 10 of the Articles of Association and Chapter 5, Section 16, Subsection 3 of the Finnish Companies Act, marked a significant shift in the bank's governance structure.

The EGM voted to disband the Shareholders' Nomination Committee, effective immediately. This decision was in line with the proposal from S-Bank Plc, a move that will streamline the bank's internal processes and potentially reduce administrative overhead.

Additionally, the EGM amended the Articles of Association by removing Section 6, which pertained to the Shareholders' Nomination Committee. The numbering of the remaining provisions was adjusted accordingly, ensuring the Articles of Association remain clear and concise.

In terms of remuneration, the EGM decided that the Board of Directors would continue to be compensated as per the resolution of the Annual General Meeting held on April 16, 2026. However, full-time employees of S-Bank Group would not receive any remuneration or reimbursement for travel expenses related to their Board work.

The EGM elected five new members to the Board of Directors: Riikka Laine-Tolonen, Mika Heikkilä, Jussi Sokka, Karri Alameri, and Irma Gillberg-Hjelt. Their terms will commence immediately following the EGM and end at the close of the 2027 Annual General Meeting.

Furthermore, the EGM appointed KPMG Oy Ab as the auditor for the bank. Tuomas Ilveskoski, an authorised public accountant, will serve as the auditor with principal responsibility. The auditor will be paid a fee based on reasonable invoicing approved by the company.

KPMG Oy Ab was also selected as the assurer of the sustainability reporting. Tuomas Ilveskoski, an authorised sustainability reporting auditor, will act as the sustainability reporting assurer with principal responsibility. This decision was made to ensure the bank's sustainability reports are independently verified and credible.

The minutes of the EGM will be available on the company's website by November 19, 2026. These documents will provide a detailed account of the proceedings and decisions made during the meeting.

These changes reflect Oma Savings Bank Plc's ongoing efforts to optimize its internal structures and enhance its governance practices. The bank, known for its focus on retail banking and digital services, continues to adapt to evolving market conditions and regulatory requirements.
