NEW YORK, Sept. 17, 2026 /CourierPR/ -- NewHold Investment Corp. III, a blank check company formed for the purpose of merging with a growing industrial and business services company, has completed a significant business combination with newcleo, an innovative nuclear energy company. At an Extraordinary General Meeting held on Thursday, September 17, 2026, shareholders overwhelmingly approved the business combination, with approximately 93.4% of the votes cast in favor, representing about 72.4% of NewHold’s outstanding shares.
The closing of the business combination is anticipated to occur on or about Monday, September 21, 2026, subject to the satisfaction of customary closing conditions. Following the closing, the combined company will operate as newcleo plc, with its shares of common stock and warrants expected to trade on the Nasdaq Stock Market LLC under the symbols “NWCL” and “NWCLW,” respectively, beginning on or about Tuesday, September 22, 2026.
Founded by physicist-entrepreneur Stefano Buono following the USD $3.9 billion sale of his previous venture, Nasdaq-listed nuclear medicine company Advanced Accelerator Applications, to Novartis, newcleo is an innovative nuclear energy company developing advanced modular reactors (AMRs) cooled by liquid lead and facilities to produce nuclear fuel from recycled nuclear waste. With approximately USD $800 million in private funding and more than 900 highly skilled employees across Europe and the United States, the company has built a network of over 100 industry partnerships and supports its growth through the targeted acquisition and vertical integration of key companies in the nuclear supply chain.
