NatBridge Receives Initial Payment from NatGold Agreement

NatBridge Resources Ltd. has made progress in its ongoing efforts to address a cease trade order (CTO) issued by the British Columbia Securities Commission (BCSC) on December 4, 2025. The company continues to work with the BCSC to address matters arising from its application for the revocation of the CTO. Despite the CTO remaining in effect, NatBridge remains focused on bringing its continuous disclosure record current and advancing the revocation process.

In a related development, NatBridge has received its first cash payment under an agreement with NatGold Digital Ltd. (NatGold). The payment, totaling US$15,000, was made in accordance with the terms of the agreement, which pertains to proceeds from the sale of NATG tokens associated with the mineral rights interests in Land Parcels 45 and 46 of the Cahuilla Gold Project. These tokens were previously transferred by NatBridge to NatGold Integrity Vault LLC. The payment marks the first cash proceeds received by NatBridge under the agreement, with future payments contingent on the sale of additional NATG tokens.

Additionally, NatBridge has secured a non-convertible loan of US$75,000 from an arm's-length lender. The loan, which bears interest at a rate of 10% per annum, is intended to provide additional working capital while the CTO remains in effect and the company continues the revocation process. The loan matures on the earlier of November 13, 2026, or 30 calendar days after the company receives proceeds equal to or greater than the outstanding principal amount of the loan. NatBridge agreed to pay the lender a one-time cash fee of 4% of the principal amount of the loan.
