HOUSTON, Sept. 1, 2026 /CourierPR/ -- MSC Income Fund, Inc., a principal investment firm, has successfully completed a $150 million private notes offering, marking a significant milestone for the company. The unsecured notes, bearing a fixed interest rate of 6.83% per year and maturing on September 30, 2029, will be issued in two installments, with the first $75 million closing today and the remaining $75 million set for issuance in October 2026, subject to customary closing conditions.

The net proceeds from this offering will be utilized to repay the company's $150 million of outstanding 4.04% Series A Senior Notes due in 2026, which are set to mature on October 30, 2026. The remaining funds will be applied to reduce the company's existing debt under its floating rate multi-year revolving credit facility and its special purpose vehicle revolving credit facility. MSC Income Fund intends to re-borrow under its Credit Facilities to fund future investments, cover operating expenses, and address other cash obligations. The company also plans to deploy some of the funds for general corporate purposes.

"We are pleased to have closed this significant financing round, which will strengthen our balance sheet and provide greater flexibility to execute on our investment strategies," said Dwayne L. Hyzak, CEO of MSC Income Fund. "This offering underscores our commitment to providing debt capital to private companies and supporting their growth and operational needs."

The notes, which have not been registered under the Securities Act of 1933 or any state securities laws, are subject to the same restrictions as other private placements and may not be offered or sold in the United States without registration or an applicable exemption.
