The company recently acquired Teyame AI Holdings, which includes the AI-powered customer experience businesses Teyame 360 S.L. and Datono Mediación S.L. The acquisition, completed on January 22, 2026, aligns with HCTI’s efforts to expand its AI capabilities in customer engagement and digital transformation services.

In connection with the planned separation, the Board of Directors of Healthcare Triangle, Inc., has signed a separation agreement with Teyame AI Holdings Inc. This agreement outlines the terms governing the separation and includes the allocation of assets and liabilities between the two entities, as well as the provision of transition services. The separation is subject to approval by the NASDAQ and review by the U.S. Securities and Exchange Commission (SEC) of a registration statement to be filed by Teyame AI Holdings.

Healthcare Triangle, Inc. has also announced its intention to pursue a direct listing of Teyame AI Holdings’ common stock on NASDAQ. This direct listing will enable Teyame AI Holdings to become publicly traded without the traditional initial public offering (IPO) process, which typically involves underwriters and a lengthy roadshow.

As part of the direct listing, HCTI will distribute a minority interest of the outstanding common shares of Teyame AI Holdings to existing shareholders. This distribution will be made as a stock dividend and will be contingent upon NASDAQ's approval of the Direct Listing. The record date for this distribution will be determined in future filings.

The move reflects Healthcare Triangle, Inc.'s strategic vision to diversify its portfolio and focus on its core healthcare technology business, while allowing Teyame AI Holdings to operate as an independent entity in the AI-powered customer experience market.
