Enovis acquires eCential Robotics for €155 million

Enovis, a leading medical technology company, is expanding its innovative capabilities by acquiring eCential Robotics, a pioneering developer of enabling technologies and surgical robotics. The acquisition is set to bolster Enovis’s ASTRA enabling technology platform with advanced robotic automation, enhancing surgical precision and operational efficiency.
Enovis announced on September 1, 2026, that it has entered into a binding agreement to purchase eCential Robotics for an upfront enterprise value of €155 million, with an additional €35 million contingent on meeting specific milestones. The deal is expected to close by the end of 2026, subject to regulatory approvals.
The transaction will see Enovis integrate eCential Robotics into its operations, creating a robotics center of excellence in Grenoble, France. This move aligns with Enovis’s strategy to leverage talent in a key medical technology hub and advance its robotic innovation roadmap. Founded in 2008, eCential Robotics has developed a modular platform for robotic-assisted surgery, focusing on computer-assisted surgery and orthopedic robotics.

The acquisition is expected to have a modest impact on Enovis’s adjusted EBITDA margin, with a 100 basis point headwind in 2027, offset by underlying improvements. Enovis anticipates free cash flow conversion to increase to 50% in 2027, reaching over $100 million in the following years.
