Spyre Therapeutics Grants Inducement Awards to Non-Executive Employee

WALTHAM, Mass., Sept. 04, 2026 /CourierPR/ -- Spyre Therapeutics, a clinical-stage biotechnology company focused on developing next-generation therapies for improved disease control and patient experience, has announced the granting of inducement awards to a non-executive employee. On September 1, 2026, Spyre’s independent Compensation Committee approved the issuance of 2,106 stock options and 745 restricted stock units (RSUs) under the company’s 2018 Equity Inducement Plan.

The stock options, each granting the right to purchase one share of Spyre’s common stock, were awarded with a 10-year term. The exercise price was set at $88.50, reflecting the closing price of Spyre's common stock on the same day. These options are structured to vest in four equal installments: one-fourth on the first anniversary of the employee’s start date, and one-eighth monthly thereafter, contingent upon the employee's continuous service with the company.

The RSUs, which represent the right to receive one share of common stock upon vesting, are also divided into four equal parts. Each part will vest on the next February 15, May 15, August 15, or November 15 occurring on or after the employee’s start date, provided the employee remains with Spyre during the vesting period.

These inducement awards are in line with Nasdaq Listing Rule 5635(c)(4) and were critical to the employee's decision to join Spyre Therapeutics. The company's commitment to advancing immunology through innovative therapies is evident in its pipeline, which includes investigational extended half-life antibodies targeting α4β7, TL1A, IL-23, and IL-17A/F, as well as rational combination programs.
