Skyworks Extends Expiration Date for Qorvo Note Exchange Offers

IRVINE, Calif., Sept. 11, 2026 /CourierPR/ -- Skyworks Solutions, Inc., a leading developer and provider of analog and mixed-signal semiconductors, has extended the expiration date of its exchange offers for Qorvo’s senior notes. The original expiration date was set for September 11, 2026, but Skyworks has now pushed it back to September 18, 2026. This extension is part of a broader plan to merge with Qorvo, a move that is expected to close within the calendar year, subject to the satisfaction of all closing conditions.
The exchange offers are aimed at holders of Qorvo’s 4.375% Senior Notes due 2029 and the 3.375% Senior Notes due 2031. Skyworks is offering up to $850 million in new 4.375% Senior Notes due 2029 and up to $700 million in new 3.375% Senior Notes due 2031 in exchange for the Qorvo notes. As of the previous business day, Global Bondholder Services Corporation, the information agent for the exchange offers, reported that certain principal amounts of the Qorvo notes had already been tendered and not withdrawn.
Holders of Qorvo notes who have already tendered and not withdrawn their notes do not need to take any further action. Those who have not yet tendered or who have withdrawn their notes can still participate. The settlement date for the exchange offers is expected to occur no earlier than the second business day after the closing date of the mergers, which is anticipated to happen within the fiscal year.
Skyworks is hopeful that the mergers will close within the calendar year, but there are no guarantees. The company is preparing to close as early as possible, subject to the satisfaction of all closing conditions.
