HOUSTON, Sept. 1, 2026 /CourierPR/ -- Shell Oil Products US has finalized an agreement to acquire the remaining 67% stake in Tri Star Energy, LLC, a leading convenience store and fuel distributor in the southeastern United States. The deal, which will be completed by the end of 2026, will add 320 company-owned fuel and convenience retail sites to Shell's existing network, significantly boosting its presence in Tennessee and surrounding states.

"This acquisition is a strategic move that aligns with our growth strategy," said Machteld de Haan, President of Downstream, Renewables and Energy Solutions at Shell plc. "Tri Star Energy has built a strong business with high-quality assets and a loyal customer base, and we look forward to integrating these operations into our network."

With this acquisition, Shell will own a total of nearly 550 company-owned convenience retail sites in the southern United States, along with supply agreements for an additional 552 dealer-owned locations. This will further strengthen its position as the largest branded fuel network in the country, with over 12,000 fuel and convenience retail sites serving more than 7 million customers daily across 49 states.

The investment is part of Shell's broader strategy to reallocate capital to high-performing businesses and markets where the company can deliver strong performance. Shell stated that 80% of its growth capital expenditure in the Mobility & Convenience business will be spent in 10 key markets, including the United States, which generates the majority of the company's cash flow.

Tri Star Energy will continue to be operated by Texas Petroleum Group, LLC, a wholly owned subsidiary of Shell Mobility & Convenience US LLC. The acquisition is expected to generate an internal rate of return above Shell's hurdle rate for its marketing business.

Shell's President, Downstream, Renewables and Energy Solutions, emphasized, "This transaction is a significant step in our journey to secure energy supplies and meet the evolving needs of our customers. With a long history in the US, Shell is committed to delivering on its goals and contributing to a sustainable future."

The deal, which is subject to regulatory clearance and the satisfaction of closing conditions, is projected to significantly enhance Shell's operational capabilities and market share in the southeastern United States.
