LAS VEGAS, Oct. 30, 2026 /CourierPR/ -- PyX Wallets Inc., formerly known as Global Entertainment Holdings, Inc., has completed a significant corporate transformation. The Delaware-based company, which develops titanium smart wallets, has acquired the assets and operations of Global Entertainment Holdings, effectively changing its name and business focus.
On October 21, 2026, PyX Wallets Inc. announced the closing of a stock purchase agreement with Global Entertainment Holdings, Inc. (OTC: GBHL). Ryan Contardi, who was appointed as the new President, CEO, Secretary, Treasurer, and a director of the company, took over from Richard C. Hawkins, who resigned as CEO and director.
The change in name and symbol is part of the broader restructuring. PyX Wallets Inc. has already amended its articles of incorporation to reflect the new name, effective October 22, 2026. The company is preparing to file a submission with FINRA to change its trading symbol. Until then, its common stock will continue to trade under the symbol "GBHL."
The company plans to engage a PCAOB-registered independent auditor to audit two years of financial statements, covering both PyX Wallets Inc. and Global Entertainment Holdings Inc. operations. The goal is to file a registration statement with the SEC within 90 days of the change of control. This step is crucial for the company to achieve SEC reporting status and potentially list on a national securities exchange.
PyX Wallets Inc. is developing two key products: PyX Core, designed for everyday card security, and PyX Vault, which adds a hardware crypto wallet with offline key storage and on-device transaction review. The company aims to leverage its new public status to secure the necessary capital for product launches and market entry.
In the meantime, the company will remain subject to applicable former-shell-company resale restrictions under Rule 144(i) of the Securities Act of 1933 and Section 21E of the Securities Exchange Act of 1934. The super-voting preferred stock held by PYX will concentrate voting control, even if PYX's common equity ownership is diluted.
With the transaction closed, PyX Wallets Inc. is now fully focused on the audit process and the launch of its innovative products. The company's journey to becoming a public entity marks a significant step in its development and sets the stage for future growth and market expansion.
