Polyrizon raises $4 million in funding for nasal hydrogel technologies

RAANANA, ISRAEL, Sept. 04, 2026 /CourierPR/ -- Polyrizon Ltd., a development-stage biotech company specializing in innovative intranasal hydrogels, has closed a $4.0 million registered direct offering and private placement, raising significant capital for its operations.

The company issued 333,333 units to a single institutional investor, with each unit comprising one ordinary share and one common warrant, as well as one pre-funded warrant. The total gross proceeds from these transactions amounted to approximately $4.0 million.

The units were sold at a price of $12.00 each, with the pre-funded warrants being priced at $11.99999 per unit, reflecting a slight discount due to the immediate exercisability of the pre-funded warrants. In the registered direct offering, Polyrizon issued 232,500 ordinary shares and 30,000 pre-funded warrants. Simultaneously, in the concurrent private placement, the company issued 70,833 pre-funded warrants and 333,333 common warrants.

The pre-funded warrants are immediately exercisable and can be exercised at any time until fully exercised. The common warrants have an exercise price of $12.00 per share. The transactions were completed on September 4, 2026.

Polyrizon plans to use the net proceeds from the offerings, combined with its existing cash reserves, for general corporate purposes and working capital. The registered direct offering was conducted pursuant to an effective shelf registration statement filed with the U.S. Securities and Exchange Commission (SEC) on December 3, 2025. The private placement was not registered under the Securities Act of 1933 and was offered only to accredited investors.

Aegis Capital Corp. served as the exclusive placement agent for the offerings, with Meitar | Law Offices acting as Israeli counsel to Polyrizon, and Kaufman & Canoles, P.C. representing Aegis Capital Corp. The final prospectus supplement and accompanying prospectus will be filed with the SEC and can be accessed on the SEC’s website.

The company’s Capture and Contain (C&C) hydrogel technology, which forms a thin barrier in the nasal cavity to protect against viruses and allergens, will benefit from the capital raised. Polyrizon is also developing Trap and Target (T&T) technology for the nasal delivery of active pharmaceutical ingredients.
