SEATTLE, Oct. 16, 2026 /CourierPR/ -- Northern Genesis Acquisition Corp, a special purpose acquisition company, is facing a stockholder class action lawsuit that has now reached a proposed settlement. The lawsuit involves all persons who held shares of the company's Class A Common Stock as of April 21, 2021, the "Redemption Deadline." This includes both record and beneficial holders who did not redeem all of their shares.
The case is being handled under the auspices of the Court of Chancery of the State of Delaware, with preliminary certification of the class action. The settlement, valued at $4,000,000.00 in cash, is set to be heard on December 1, 2026, at 11:00 a.m., before The Honorable Nathan A. Cook, Vice Chancellor, at the Leonard L. Williams Justice Center, located at 500 North King Street, Wilmington, Delaware 19801. The hearing will address several key issues, including the certification of the class for settlement purposes, the adequacy of representation by the plaintiffs and their counsel, and the fairness and reasonableness of the proposed settlement.
According to the notice, the settlement will resolve all claims in the action. Any objections to the settlement, the proposed plan of allocation, or the application for attorneys' fees and expenses must be filed with the Court no later than November 13, 2026. Additionally, class members must submit a Proof of Claim and Release by January 30, 2027, to be eligible to share in the settlement proceeds.
The settlement is subject to the approval of the Court, and any updates regarding the settlement hearing, including changes to the date, time, or format of the hearing, will be posted on the settlement website, www.LionElectricStockholdersLitigation.com.
The settlement agreement, known as the Stipulation and Agreement of Compromise, Settlement, and Release, was dated August 26, 2026, and is available for review on the settlement website. The notice also provides contact information for the Settlement Administrator and plaintiffs' lead counsel, should any class members have further questions or need assistance.
This settlement represents a significant development for the company and its shareholders, as it aims to resolve the pending litigation and provide a resolution for those affected by the class action. The outcome of the settlement hearing will have important implications for all parties involved.
