NANO Nuclear, Enveniam Sign MOU for Advanced Nuclear Collaboration

New York, N.Y., and Oak Ridge, Tenn., September 4, 2026, NANO Nuclear Energy Inc. (NASDAQ: NNE), a leading developer of advanced nuclear micro modular reactor and technology solutions, and Enveniam, LLC, a project integrator and provider of engineering, technology, and project-delivery solutions, have signed a non-binding Memorandum of Understanding (MOU) to collaborate on advancing the U.S. nuclear fuel cycle, microreactor deployment, and energy infrastructure.
The MOU outlines a framework for NANO Nuclear and Enveniam to explore opportunities in nuclear fuel transportation, conversion and deconversion, microreactor licensing and deployment, advanced manufacturing, and power solutions for data centers and remote communities. The companies plan to leverage Enveniam's extensive experience in nuclear engineering, project integration, safety analysis, licensing support, and operational readiness to bolster NANO Nuclear's capabilities in reactor development, nuclear fuel fabrication, and transportation.

The MOU calls for the companies to explore cooperation across six principal workstreams: 1. Nuclear fuel transportation: Enveniam will provide support in engineering, safety, operational, and regulatory matters related to NANO Nuclear’s Highly Enriched Uranium (HALEU) transportation systems. 2. Conversion and deconversion: Enveniam will offer engineering design, criticality-safety analysis, integrated safety assessments, and licensing-strategy support for potential uranium conversion and deconversion facilities. 3. Microreactor commercialization: Enveniam will offer technical support for siting, licensing, engineering, fabrication, project controls, risk management, safety-basis development, operations planning, and deployment readiness for NANO Nuclear’s KRONOS MMR™ Energy System or portable microreactor designs. 4. Advanced manufacturing: Enveniam will help develop requirements, manage projects, and support engineering design, baseline planning, earned-value management, and operational-readiness support for a potential U.S.-based manufacturing facility. 5. Domestic fuel supply chain: Enveniam will provide strategic, program-management, technical, and compliance support spanning sourcing, fabrication, qualification, transportation, and delivery. 6. Commercial energy markets: Both companies will collaborate on joint market development and stakeholder engagement for potential electricity and process-heat solutions for data centers, remote and off-grid communities, Alaska Native organizations, island states, and other energy-intensive users.

The MOU also establishes a joint working group to review potential business opportunities, identify projects that may warrant a funded statement of work or task order, and consider joint applications for federal or state funding. Each company retains the discretion to share information and pursue opportunities based on their individual business plans.
Both companies emphasize that the MOU does not obligate them to proceed with specific projects, provide services, commit funding, or enter into commercial transactions. Any such activity would require separate definitive agreements.
