Greene Concepts Completes 1-for-80 Reverse Stock Split

Greene Concepts, Inc., the owner and operator of a 60,000-square-foot bottling facility in Marion, North Carolina, has completed a 1-for-80 reverse stock split, aiming to present a cleaner capital structure and support the company's growth. The reverse split, effective on July 30, 2026, involved the issuance of 11,282 shares to address fractional-share rounding, ensuring that no shareholder ended up with a fractional share.

"We wanted to be completely transparent with our shareholders about what did and did not occur as a result of the reverse split," said Lenny Greene, President and CEO of Greene Concepts. "This was a recapitalization of shares already outstanding. The only new shares issued were 11,282 to round fractional positions so that every shareholder received a whole-share account."

Prior to the reverse split, the company reported 6,241,803,875 shares of common stock outstanding. On a 1-for-80 basis, this position mathematically converted to 78,022,548 whole shares. Following the delivery of the 11,282 rounding shares, the company's reported outstanding common stock stands at 78,033,830 shares.

In a complementary move to strengthen its capital structure, Greene Concepts is pursuing a non-dilutive working capital loan intended to support operations, inventory, production, and the continued commercial expansion of its premium artesian spring water brand, Be Water™. The company has already prepared and submitted the required application materials and supporting documentation to a prospective lender and is actively engaged in the diligence and underwriting process.

"The reverse split and our work on non-dilutive financing are intended to support our operating plan, not distract from it," Greene explained. "Our focus remains on building a real beverage business, American-made product, owned infrastructure, and expanding retail and hospitality relationships."

The company's flagship product, Be Water™, is sourced from certified artesian wells and a naturally replenished aquifer beneath the Blue Ridge Mountains. The water is bottled at the source in Marion, North Carolina, and is naturally filtered through layers of ancient bedrock, absorbing minerals and electrolytes such as calcium, magnesium, and silica that contribute to its smooth taste and natural alkalinity.

Greene Concepts, Inc. operates a 60,000-square-foot bottling facility and provides private-label and co-packing services for select beverage partners. The company aims to continue developing and marketing premium beverage brands designed to enhance the daily lives of consumers.
