This move aligns with the Coordinated Blanket Order 51-933, issued by the Canadian Securities Administrators, which permits eligible venture issuers to transition from quarterly to semi-annual financial reporting.
According to the announcement, Entheon meets the eligibility criteria for the Blanket Order. Specifically, the company has an annual revenue of less than $10 million, a disclosure record of over 12 months, and has filed all required periodic and timely disclosure documents. As a result, Entheon will file interim financial reports and associated management's discussion and analysis (MD&A) on a semi-annual basis, rather than quarterly.
The transition will see Entheon file its first semi-annual report for the period ending August 31, 2026, and its next financial report for the year ending November 30, 2026. The company will continue to file annual audited financial statements within 120 days of its fiscal year-end, November 30. Entheon will remain subject to timely disclosure requirements and will continue to report all material changes and significant developments in accordance with National Instrument 51-102, Continuous Disclosure Obligations.
Under the terms of the Blanket Order, Entheon will be exempt from filing interim financial reports and associated MD&A for its first and third quarters. The initial period for which the company will not file a quarterly interim financial report and associated MD&A will be for the three and nine months ended August 31, 2026.
Entheon's decision to adopt semi-annual reporting is part of a broader effort to streamline its financial reporting process while maintaining transparency and compliance with securities regulations.
