DALLAS, Oct. 1, 2026 /CourierPR/ -- enCore Energy Corp. has completed a significant corporate move, distributing 35 million common shares of Verdera Energy Corp. to its shareholders as a special dividend. This distribution, announced on September 25, 2026, and completed on September 30, 2026, was intended to put value directly in the hands of enCore's shareholders.

The distribution included a mix of unrestricted and restricted shares. Specifically, 21 million unrestricted Verdera shares were distributed, each representing 0.108 of an unrestricted Verdera share for each enCore share held. Additionally, 7 million Verdera shares were restricted until November 20, 2026, and another 7 million were restricted until February 20, 2027, each representing 0.036 of a restricted Verdera share for each enCore share held.

As a result of the distribution, enCore retained a small number of shares. The company kept 17,554 unrestricted Verdera shares, 5,889 shares restricted until November 20, 2026, and 5,889 shares restricted until February 20, 2027. Following the distribution, enCore holds an aggregate of 15,029,332 Verdera shares.

Rich Little, the Chief Executive Officer of enCore, expressed satisfaction with the completion of the distribution.

The distribution is part of enCore's strategy to diversify its portfolio and support the growth of domestic uranium supplies. The company, known as America's Clean Energy Company™, is committed to providing clean, reliable, and affordable uranium to fuel the rapidly expanding U.S. nuclear energy needs. With this move, enCore shareholders now have a direct interest in Verdera and its portfolio of ISR (In-Situ Recovery) uranium assets in New Mexico.

The company's commitment to the U.S. nuclear energy sector is evident in its broader goals and strategic moves. enCore exclusively uses ISR for uranium extraction, a minimally invasive, eco-friendly, and economically competitive mineral extraction technology co-developed by enCore's leadership. Building on enCore's demonstrated and continuing success in South Texas, future projects in enCore's planned project pipeline include the expansion of Alta Mesa to include the Alta Mesa East property, the Dewey Burdock project in South Dakota, and the Gas Hills project in Wyoming. The company holds other assets, including non-core assets and proprietary databases, and is committed to working with local communities and indigenous governments to create positive impacts from corporate projects.

This distribution aligns with the company's broader goals and reflects its commitment to the U.S. nuclear energy sector. As enCore continues to expand its operations and projects, the distribution of Verdera shares is seen as a strategic move to enhance shareholder value and support the company's growth trajectory.
