PharmaCorp Expands Network with Two Pharmacy Acquisitions

PharmaCorp Rx Inc., a Canadian pharmacy acquisition and ownership platform, has completed two significant acquisitions, expanding its network and financial capabilities. The company announced the completion of the acquisition of a 100 per cent interest in a PharmaChoice Canada-bannered pharmacy located in Western Canada, bringing its operating network to 17 pharmacies. The purchase price for this pharmacy was $1,300,000, subject to customary post-closing adjustments.

Additionally, PharmaCorp completed the acquisition of the prescription files, patient records, and related operational data of an I.D.A.-bannered pharmacy in Western Canada. The acquisition, completed on September 11, 2026, had a purchase price of $475,000, subject to customary post-closing adjustments. The acquired files have been transferred to an existing PharmaCorp pharmacy, consolidating patient volume into a pharmacy the company already operates.

In a related development, PharmaCorp has increased its acquisition facility with Canadian Imperial Bank of Commerce (CIBC) from $17.5 million to $27.5 million. This increase provides additional capacity to fund future acquisitions. The amendment to the credit agreement between PharmaCorp and CIBC, dated September 30, 2026, reflects this increase.

PharmaCorp also disclosed a non-binding letter of intent dated September 11, 2026, for the proposed acquisition of three PharmaChoice Canada-bannered pharmacies in Atlantic Canada. The company is no longer pursuing the proposed acquisitions contemplated by non-binding letters of intent dated March 23, 2026, and June 23, 2026. Two non-binding letters of intent remain outstanding, with the proposed acquisitions subject to satisfactory due diligence and the negotiation and execution of definitive purchase agreements.

PharmaCorp, which operates 17 PharmaChoice Canada-bannered pharmacies, continues to focus on acquiring both PharmaChoice Canada-bannered and independent pharmacies across Canada. The company is committed to rebranding non-bannered locations under the PharmaChoice Canada platform, where applicable. PharmaCorp shares trade on the TSX Venture Exchange under the symbol PCRX.

The company's expansion and financial enhancements underscore its strategic focus on growing its network of community pharmacies and supporting pharmacy owners through its acquisition framework.
