NEW YORK, Sept. 28, 2026 /CourierPR/ -- The release of the proposed settlement in the Revance Therapeutics, Inc. securities class action lawsuits has marked a significant development in the ongoing legal proceedings. The lawsuits, captioned Dena A. Gilmore v. Mark J. Foley, C.A. No. 2025-1415 and Seane Jones v. Mark J. Foley, C.A. No. 2026-0177 (the "Actions"), have reached a settlement agreement valued at $2,400,000.00 (the "Settlement").
The Settlement agreement involves Plaintiffs and Defendant, Revance Therapeutics, Inc. (the "Company"). The proposed settlement will be heard by the Court in the Leonard L. Williams Justice Center, located at 500 North King Street, Wilmington, Delaware 19801, or remotely by Zoom (in the discretion of the Court), on December 17, 2026, at 11:00 a.m. (the "Settlement Hearing").
The hearing will determine several critical aspects of the Settlement, including whether the Actions may be finally maintained as a non-opt out class action and whether the Class should be finally certified, for purposes of the Settlement, pursuant to Court of Chancery Rules 23(a), 23(b)(1), and 23(b)(2). Additionally, the Court will need to determine whether Plaintiffs may be finally appointed as representatives for the Class and Plaintiffs' Counsel finally appointed as counsel for the Class, and whether Plaintiffs and Plaintiffs' Counsel have adequately represented the interests of the Class in the Actions.
Furthermore, the Court will need to determine whether the proposed Settlement on the terms and conditions provided for in the Stipulation is fair, reasonable, and adequate to the Class, and should be approved by the Court. The Court will also need to determine whether the Order and Final Judgment should be entered dismissing the Actions with prejudice as against the Company and releasing all Released Plaintiffs' Claims against the Company and all Released Defendant's Persons. The Court will also need to determine whether the proposed Plan of Allocation of the Net Settlement Fund is fair and reasonable, and should therefore be approved. Finally, the Court will need to hear and rule on any objections to the Settlement, the proposed Plan of Allocation, and/or to the application by Plaintiffs' Counsel for an award of attorneys' fees and expenses.
Any Class Member who objects to the Stipulation, the Settlement, the Judgment to be entered in the Actions, Plaintiffs' Counsel's application for attorneys' fees and expenses, or the application for an incentive award ("Objector"), or who otherwise wishes to be heard, may appear in person or by such Class Member's attorney at the Settlement Hearing and present evidence or argument that may be proper and relevant.
The proposed Settlement will be effective only if approved by the Court. Any Class Member who wishes to share in the distribution of the Net Settlement Fund must submit a Proof of Claim and Release by mail, postmarked no later than March 17, 2027, or online at www.rg2claims.com/revance.html no later than March 17, 2027, establishing that they are entitled to recovery.
