NEW YORK, Sept. 1, 2026, A leading securities law firm has announced that a class action lawsuit has been filed against Capricor Therapeutics, Inc. (NASDAQ: CAPR) and certain senior executives for alleged securities fraud following a significant drop in the company's stock price.

The lawsuit, brought by Bleichmar Fonti & Auld LLP, alleges that Capricor Therapeutics made false statements regarding its lead product candidate, Deramiocel, and the integrity of the clinical data supporting its Biologics License Application. These misrepresentations are said to have led to a substantial 64.5% drop in the company's stock price on July 27, 2026.

According to the complaint, Capricor failed to disclose that it had made changes to the pre-specified statistical analysis plan used to evaluate the clinical data for Deramiocel without the FDA's approval. The FDA had previously issued a Complete Response Letter, indicating that additional clinical data was required for Deramiocel to meet the statutory requirement for substantial evidence of effectiveness.

On July 27, 2026, the FDA released briefing documents ahead of an advisory committee meeting, which reportedly raised concerns about post-hoc changes to Capricor's statistical analysis plan. This news triggered a sharp decline in Capricor's stock, with the price dropping from $19.70 per share on July 24, 2026, to $7.00 per share by the following trading day.

The complaint asserts that Capricor's securities fraud claims are based on violations of Sections 10(b) and 20(a) of the Securities Exchange Act of 1934. The class action is pending in the U.S. District Court for the Southern District of California and is captioned Nkamga v. Capricor Therapeutics, Inc. et al., No. 26-cv-04385.

Capricor Therapeutics is a biotechnology company focused on developing cell and exosome-based therapeutics for rare diseases, with Deramiocel being its lead product candidate for Duchenne muscular dystrophy.

Bleichmar Fonti & Auld LLP, a leading international law firm, represents plaintiffs in securities class actions and shareholder litigation. The firm has been recognized for its expertise and has recovered significant amounts in past cases, including over $900 million from Tesla, Inc. and $420 million from Teva Pharmaceutical Industries Ltd.
