DALLAS, Sept. 01, 2026 /CourierPR/ -- Capital Southwest Corporation, a Dallas-based business development company, has secured shareholder approval to significantly expand its capital capacity. At its recent annual meeting, shareholders voted to increase the company’s authorized shares of common stock from 75 million to 135 million. The move is seen as a key step in enabling the firm to pursue new investment opportunities and maintain its disciplined capital management strategy.

During the meeting, Michael S. Sarner, President and CEO of Capital Southwest, expressed gratitude to shareholders for their support, noting, “On behalf of our Board of Directors and the entire Capital Southwest team, I want to sincerely thank our shareholders for supporting the proposal to increase our authorized shares. We recognize that the voting process and our extensive outreach efforts required additional time and attention from many of you. Your engagement and support throughout this process were greatly appreciated.”

Sarner explained that the approval would provide the company with the necessary flexibility to continue executing its strategy of funding new investments, maintaining a conservative balance sheet, and managing leverage responsibly. “Access to equity capital is essential to supporting the acquisition and growth of middle market businesses,” he said. “This approval helps ensure we have the flexibility to continue performing for our shareholders while remaining committed to the prudent capital management approach that has defined Capital Southwest for many years.”

As of June 30, 2026, Capital Southwest had approximately $2.2 billion in investments at fair value, focused on middle market businesses with investments ranging from $5 million to $50 million across the capital structure, including first lien, second lien, and non-control equity co-investments. The company has a permanent capital base, which allows it to be creative in its financing solutions and invest over long periods to support the growth of its portfolio companies.

Sarner concluded by reaffirming the company’s commitment to transparency and disciplined performance, stating, “We appreciate your trust, and we remain committed to delivering strong results on your behalf.”

While the approval is seen as a positive step, the company also issued a reminder of the inherent risks associated with its business. Forward-looking statements in the release caution that various factors, including changes in market conditions, interest rate environments, regulatory changes, and economic downturns, could impact the company’s future performance. Readers are advised to review the company’s filings with the SEC for a more detailed discussion of these risks.
