Bunker Hill Mining Corp. Issues Shares in Debt Settlement

KELLOGG, Idaho and VANCOUVER, British Columbia, Sept. 29, 2026 /CourierPR/ -- Bunker Hill Mining Corp., a U.S.-based mining company focused on the restart and operation of its historic Bunker Hill Mine in northern Idaho's Silver Valley, has announced a unique method to settle its debt obligations. The company has elected to issue an aggregate of 100,499 shares of its common stock in full satisfaction of the interest payments due as of September 30, 2026, under certain debt instruments.

Specifically, Bunker Hill will issue 28,714 Interest Shares to holders of 5.0% Series 1 secured convertible debentures, valued at US$76,666.67, and 71,785 Interest Shares to holders of 5.0% Series 2 secured convertible debentures, valued at US$191,666.67. The Series 1 Debentures mature on March 31, 2028, while the Series 2 Debentures mature on March 31, 2029.

The company will issue the Interest Shares at a price of US$2.67 (approximately C$3.79) per Interest Share, based on 90% of the 10-day volume-weighted average trading price of the company's shares on the applicable stock exchange, which occurred between September 15, 2026, and September 28, 2026.

Additionally, Bunker Hill will issue 95,713 Interest Shares to certain managed accounts of Sprott Private Resource Streaming and Royalty Corp., a related party transaction. This issuance is subject to exemptions from the formal valuation and minority shareholder approval requirements under Multilateral Instrument 61-101, Protection of Minority Shareholder Approval, as neither the fair market value of the Interest Shares nor the consideration received for such shares will exceed 25% of the company’s market capitalization.

The issuance of the Interest Shares is subject to regulatory approvals, including the approval of the stock exchange on which the company’s shares trade. Once issued, the Interest Shares will be subject to a four-month and one-day hold period in accordance with applicable Canadian securities laws. The company has not filed a material change report more than 21 days prior to the election to issue the Interest Shares, as the Pricing Period only ended on September 28, 2026.
