The company's Compensation Committee approved the issuance of 75,400 American Depositary Shares and 129,310 RSUs, each representing an equal number of ordinary shares, under the Company’s 2025 Inducement Plan, in accordance with Nasdaq Listing Rule 5635(c)(4).
The inducement awards, effective as of October 21, 2026, are designed to attract and retain key talent. Each stock option carries an exercise price of $1.66 per share, which was set at the closing price of Autolus’ common stock on October 20, 2026. The options have a ten-year term and will vest over a four-year period. Specifically, 25% of the original number of shares will vest on the one-year anniversary of the hire date, with the remaining shares vesting in 36 equal monthly installments thereafter.
The RSUs, on the other hand, will vest in four equal annual installments. Both the stock options and RSUs are subject to the employees' continued service with Autolus through the applicable vesting dates. This move by Autolus underscores its commitment to fostering a strong and talented workforce, essential for the company's ongoing research and development efforts in the field of T cell therapies.
The company, which has a marketed therapy and a pipeline of product candidates for the treatment of cancer and autoimmune diseases, continues to leverage its proprietary and modular T cell programming technologies to engineer precise and controlled T cell therapies. With these inducement grants, Autolus aims to support its strategic growth and innovation goals.
