MONTREAL, Nov. 04, 2026 /CourierPR/ -- Brunswick Exploration Inc., a Montreal-based mineral exploration company, has announced a significant fundraising initiative aimed at advancing its exploration efforts. The company has entered into an agreement with Canaccord Genuity Corp. to conduct a private placement, known as the LIFE Offering, for a total gross proceeds of up to $9,000,900. This financing will support a major exploration campaign at the Anatacau property in 2027, as well as provide board and management with the opportunity to invest significantly in the company.

The LIFE Offering will consist of a combination of traditional flow-through common shares and Charity flow-through shares. The company will issue up to 7,142,857 traditional flow-through common shares at a price of $0.28 per share, raising up to $2,000,000. The shares will be renounced in favor of subscribers effective December 31, 2026.

Additionally, the LIFE Offering includes an option for the agents to raise up to $1,050,030 in additional gross proceeds from the sale of Charity flow-through shares at a price of $0.30 per share, exercisable up to 48 hours prior to the closing date. The gross proceeds from the sale of these shares will also be used for Canadian exploration expenses.

The net proceeds from the sale of the common shares will be utilized for exploration activities, working capital, and general corporate purposes. The LIFE Offering and Concurrent Private Placement are expected to close on or about November 25, 2026. Completion of the offerings is subject to a minimum raise of $8,000,000 under the Marketed Offering and the receipt of all necessary approvals, including the approval of the TSX Venture Exchange.

The Concurrent Private Placement will involve the issuance of up to 7,142,857 traditional flow-through common shares at a price of $0.28 per share, raising up to $2,000,000. These shares will also be used for Canadian exploration expenses, with the Qualifying Expenditures to be renounced in favor of subscribers effective December 31, 2026.

In consideration for their services, the agents will receive a cash fee equal to 6% of the gross proceeds of the LIFE Offering. The company will also issue non-transferable warrants to the agents, representing 3% of the aggregate number of Charity flow-through shares and common shares issued. Each warrant will entitle its holder to purchase one common share at a price of $0.19 for a 36-month period following the closing date.

The LIFE Offering and Concurrent Private Placement are subject to certain conditions, including the approval of the TSX Venture Exchange. The securities to be issued under the LIFE Offering are expected to be immediately freely tradeable under applicable Canadian securities legislation.
