SEATTLE, Oct. 14, 2026 /CourierPR/ -- Atlas Crest Investment Corp. has reached a settlement agreement valued at $15 million in cash, according to a notice of pendency and proposed class action settlement. The agreement involves all record and beneficial holders of Atlas Crest Investment Corp. ("Atlas Crest") Class A common stock as of September 10, 2021 (the "Redemption Deadline"), who did not redeem all or some of their shares.
The settlement, which has been preliminarily certified as a class action, is set to be finalized in a hearing scheduled for December 3, 2026, at 11:00 a.m., before The Honorable Lori W. Will, Vice Chancellor, either in person at the Leonard L. Williams Justice Center, 500 North King Street, Wilmington, Delaware 19801, or remotely by telephone or videoconference.
The hearing will address several key issues, including the final certification of the class, the adequacy of representation by plaintiffs and their counsel, the fairness and reasonableness of the proposed settlement, and the dismissal of the action with prejudice. Additionally, the hearing will consider the approval of the plan of allocation of the net settlement fund and the award of fees and expenses to plaintiffs' counsel.
Eligible class members are encouraged to submit their proofs of claim by January 4, 2027. Any objections to the settlement, the proposed plan of allocation, or plaintiffs' counsel's application for the fee and expense award must be filed with the register in chancery in the Court of Chancery of the State of Delaware and delivered to plaintiffs' counsel and defendants' counsel by no later than November 17, 2026.
A copy of the Notice and the Proof of Claim can also be downloaded from the Settlement website, www.AtlasCrestStockholderLitigation.com.
The settlement, if approved by the Court, will resolve all claims in the Action. The Net Settlement Fund will be distributed on a pro rata basis to eligible class members in accordance with the terms of the proposed Plan of Allocation stated in the Notice or such other plan of allocation as is approved by the Court. The Class is a non "opt-out" class pursuant to Delaware Court of Chancery Rules 23(a), 23(b)(1) and 23(b)(2). Accordingly, class members will be bound by any judgment entered in the Action pursuant to the terms and conditions of the Stipulation.
