1844 Resources Inc., a mineral exploration company based in the Gaspé Peninsula of Québec, has successfully completed its second and final tranche of a private placement, raising a total of $947,650 in gross proceeds. This latest fundraising effort, which closed on September 11, 2026, marks a significant milestone for the company as it advances its exploration plans.
The company issued 6,500,000 Hard Dollar Units and 3,730,000 Flow-Through Units during the second closing. Each Hard Dollar Unit comprises one common share and one-half of a warrant, while each Flow-Through Unit consists of one common share and one-half of a warrant. The Hard Dollar Units were sold at a price of $0.03 each, generating $195,000 in gross proceeds, while the Flow-Through Units were sold at $0.035 each, raising $130,550.
The proceeds from the Flow-Through Units will be allocated to critical minerals flow-through mining expenditures, specifically for a planned 3,000-metre diamond drilling program at the Sullipek East copper project, part of the company's SV2 Project. The Hard Dollar Units will be used as follows: 40% for general working capital, 30% to support exploration activities, 20% to pay finder's fees and expenses, and 10% for investor relations and marketing activities.
In connection with the second closing, 42,000 broker warrants were issued to eligible finders, each entitling the holder to acquire one additional share at an exercise price of $0.05 for a period of 24 months. All securities issued under the Offering are subject to a four-month and one-day statutory hold period.
