WILMINGTON, Del., Oct. 8, 2026 /CourierPR/ -- World Wrestling Entertainment, Inc. (WWE) and its shareholders are set to receive a significant financial settlement following a long-running legal battle. The company and its former executives have agreed to a $147.5 million cash settlement in a stockholder class action lawsuit. The lawsuit, which was pending in the Court of Chancery of the State of Delaware, involved disputes over the terms of the merger between WWE and Zuffa Parent, LLC, which owned and operated the Ultimate Fighting Championship (UFC).

The settlement, detailed in a Stipulation and Agreement of Settlement, Compromise, and Release dated August 25, 2026, aims to resolve all claims in the lawsuit. The settlement will be distributed to all record holders and beneficial owners of WWE Class A common stock whose shares were exchanged for or who had the right to receive shares of TKO Group Holdings, Inc. common stock at the closing of the merger on September 12, 2023.

The settlement process will be overseen by a hearing scheduled for November 30, 2026, at 11:00 a.m. before The Honorable J. Travis Laster, Vice Chancellor, at the Leonard L. Williams Justice Center, 500 North King Street, Wilmington, Delaware 19801. Alternatively, the hearing can be conducted via a remote proceeding such as Zoom or by telephone. Interested parties can submit objections to the settlement, the proposed plan of allocation, or Plaintiffs' Counsel's application for a fee and expense award by November 16, 2026.

According to the Notice of Pendency of Stockholder Class Action and Proposed Settlement, the settlement will be distributed on a pro rata basis to eligible class members. The distribution will be made in the same manner in which eligible class members received the merger consideration. The settlement will resolve all claims in the action, and any objections must be filed with the Register in Chancery in the Court of Chancery of the State of Delaware and delivered to Plaintiffs' Counsel and Representative Defendants' Counsel by the specified date.

The settlement is a significant development for WWE and its shareholders, marking a resolution to a protracted legal dispute. The approval of the settlement by the Court will provide closure to the litigation and ensure that eligible class members receive their share of the settlement funds.
