WISeKey Completes Merger into New Entity WISeQey

WISeKey International Holding Ltd, the global leader in cybersecurity, digital identity, and IoT solutions platform, announced significant changes in its corporate structure on September 25, 2026. The company, headquartered in Zug, Switzerland, has completed a cross-border merger with its British Virgin Islands subsidiary, formerly known as WISeKey International Corp. The merger, which was approved by shareholders at an Extraordinary General Meeting held on September 9, 2026, has led to the renaming of the British Virgin Islands subsidiary to WISeQey Corp.

WISeKey International Corp. has changed its name to WISeQey Corp., effective September 16, 2026, and will serve as the surviving entity in the Merger. The Merger, which was preceded by a share election process, saw eligible shareholders elect to receive either one WISeQey ordinary share for each WISeKey Class B share held or ten WISeQey Class B shares for each WISeKey Class B share held. The final election results indicated that holders of 518 WISeKey Class B shares validly elected to receive WISeQey Class B shares, resulting in the issuance of specific shares in the new entity.

WISeQey Corp. will be the new entity in the Merger, which is expected to streamline the company's operations and enhance its market presence. The completion of the Merger remains subject to the satisfaction of remaining closing conditions and the completion of applicable Swiss and BVI corporate, regulatory, and administrative procedures. Once these steps are completed, WISeQey Corp. will be listed on the Nasdaq and SIX Swiss Exchange.

WISeKey International Holding Ltd has filed with the U.S. Securities and Exchange Commission (SEC) a registration statement on Form F-4, which was declared effective on July 31, 2026, and includes a prospectus of WISeQey.
