Singapore, Sept. 18, 2026 /CourierPR/ -- Webuy Global Ltd., a technology-driven platform transforming travel services and social commerce across Southeast Asia, has received a notification from Nasdaq regarding its stock performance. On September 14, 2026, the company announced that it had breached the minimum bid price requirement set by Nasdaq. Specifically, the closing bid price of Webuy's Class A ordinary shares, with a par value of US$0.0000462 per share, had fallen below US$1.00 per share for 30 consecutive business days, from July 31, 2026, to September 11, 2026. This breach is in direct violation of Nasdaq Listing Rule 5550(a)(2), commonly known as the Minimum Bid Price Rule.
According to the notification, Webuy is required to disclose this deficiency promptly under Nasdaq Listing Rule 5810(b). The company's Class A ordinary shares will continue to trade uninterrupted on Nasdaq under the ticker "WBUY." However, Webuy has 180 calendar days, or until March 15, 2027, to regain compliance. If the company's stock price reaches at least US$1.00 per share for a minimum of ten consecutive business days during this period, Nasdaq will provide written confirmation of compliance and the matter will be closed.
If Webuy fails to regain compliance within the initial 180-day period, it may be eligible for an additional 180 calendar days to comply, provided it meets the continued listing requirements for market value of publicly-held shares and all other initial listing standards for The Nasdaq Capital Market under Nasdaq Listing Rule 5505, except for the Minimum Bid Price Rule. Webuy must provide a written notice of its intention to cure the deficiency during the second compliance period and, if necessary, implement a reverse stock split. The split must be completed no later than ten business days prior to March 15, 2027, to regain compliance during the initial compliance period.
Webuy is actively monitoring the situation and evaluating all reasonable measures available to regain compliance with the Minimum Bid Price Rule within the applicable compliance period. However, the company cautions that there can be no assurance that it will be able to regain compliance or maintain compliance with Nasdaq's other continued listing requirements. For more information, Webuy encourages investors to review its annual report on Form 20-F for the fiscal year ended December 31, 2025, and other reports it files with the U.S. Securities and Exchange Commission.
