Vesari Inc., a company developing geothermal-powered hyperscale computing infrastructure for artificial intelligence, has appointed ARC Group International Limited as its capital markets adviser for a contemplated business combination with a yet-to-be-identified special purpose acquisition company (SPAC) and related financing.
The company’s platform aims to address a major bottleneck in AI infrastructure by providing behind-the-meter, co-located geothermal power generation for hyperscale computing. Vesari’s initial development target is a 100 MW enhanced geothermal system (EGS) campus in the western United States, where generation is situated at the point of consumption, eliminating transmission constraints and reducing exposure to price volatility. This approach also helps in eliminating the burden on public electricity infrastructure and provides 24/7 carbon-free baseload compute.
Vesari’s intellectual property portfolio, comprising twelve United States patent applications filed to date, has been independently valued at $293 million as of June 30, 2026. The company plans to bid on and seek to secure the exclusive lease rights to one or more properties in the Great Basin from the U.S. Bureau of Land Management to build its first campus.
To support its technical development, Vesari has assembled a Science Advisory Board (SAB) of distinguished scientists. Dr. Robert K. Podgorney, a leading U.S. geothermal scientist and EGS Lead at Idaho National Laboratory, joined the SAB on September 8, 2026. Dr. Joseph N. Moore, a geothermal scientist, was appointed on July 17, 2026. Dr. Barry G. Evans, a satellite communications expert, and Professor Beatriz Soret, a satellite communications researcher, were added to the SAB on July 28, 2026, and August 20, 2026, respectively. The SAB is expected to provide insight and inform best practices for the development of Vesari’s proprietary, co-located, geothermal-powered data centers.
Ian Hanna, a partner of ARC Group International Limited, commented, "Vesari is led by an executive team with a demonstrated record of building and financing technology companies, and that leadership is matched by technical acumen and a compelling intellectual property portfolio consisting of twelve filed, non-provisional patent applications which enable a unique, efficient, four-layer campus architecture, and a science advisory board of genuinely first-rank geothermal and satellite communications scientists. The timing of Vesari's offering is also opportune: the constraint on artificial intelligence infrastructure today is firm power delivered at the point of compute, and Vesari's behind-the-meter geothermal approach speaks directly to that need. We are delighted to be working alongside the Vesari team, and our objective is straightforward, to help Vesari become a successful, well-financed public company with the balance sheet and capital markets standing required to execute its business plan."
Clifford M. Gross, Ph.D., Executive Chairman of Vesari, said, "Vesari is addressing the binding constraint on the artificial intelligence build-out, which is firm power delivered at the point of compute, specifically, the co-location of a geothermal power plant with a data center to achieve the efficient and green conversion of electrons into tokens. We are enthusiastic about engaging ARC International Limited as our adviser to help us navigate and secure a public listing for Vesari. Their combined deep experience with SPACs and related financings, coupled with their engineering-first approach, is exactly the investment banking skill set we require. This important next step follows the progress the Vesari team has made on securing its intellectual property and its science advisory bench. We will keep our shareholders informed as this process develops, and we are clear-eyed that a transaction of this nature, while extraordinarily impactful, is subject to numerous uncertainties."
