Ventripoint Diagnostics Secures Financing to Accelerate VMS+™ Commercialization

Ventripoint Diagnostics Ltd., a company at the forefront of artificial intelligence in echocardiography, has secured its first tranche of a $350,000 private placement financing, bolstering its financial standing and accelerating the commercialization of its VMS+™ technology. This move follows a strategic partnership with More Capital Ltd., a growth advisory firm, and Red Cloud Securities Inc., an investment dealer, to enhance market awareness and expand commercial partnerships.

According to Hugh MacNaught, President and CEO of Ventripoint Diagnostics, "We are entering a pivotal phase as we shift from technology development to commercialization. This financing strengthens our balance sheet for the next stage of growth, while More Capital brings the strategic capabilities and relationships to help us accelerate partnerships and expand our market reach."

The private placement, which raised $180,000 through the issuance of Units at $0.10 per Unit, includes both common shares and warrants. Each warrant allows the holder to purchase one additional common share at $0.14 per share for 24 months from closing. The company also anticipates additional tranches of up to $350,000, contingent on regulatory approvals.

MacNaught further elaborated, "These initiatives are designed to increase market awareness and drive broader adoption of VMS+™ within the cardiology community and beyond. Our VMS+™ technology is compatible with ultrasound systems from multiple manufacturers, offering advanced cardiac analytics without the need for costly equipment replacements."

Ventripoint's VMS+™ technology, powered by its proprietary Knowledge-Based Reconstruction (KBR) technology, delivers accurate volumetric cardiac measurements comparable to MRI. This technology is already approved in the United States, Canada, the European Union, and the United Kingdom, with plans to extend its reach globally.

In addition to the financial and strategic moves, the company has engaged More Capital Ltd. for a 12-month advisory agreement. More Capital will focus on identifying and advancing commercial partnerships, supporting market expansion, and increasing awareness of Ventripoint's technology. The company will pay More Capital $12,500 per month for these services.

Red Cloud Securities Inc. has been engaged to provide market stabilization and liquidity services. This includes trading shares of Ventripoint on the TSX Venture Exchange to maintain a reasonable market and improve liquidity. Red Cloud will charge the company $5,000 per month for its services.
