Valeo, a leading global technology company, is renewing its employee share offering for the second time this year. The initiative, which is open to around 81,000 eligible employees across 21 countries, aims to further integrate employees into the company’s success and development.

The share offering is part of Valeo’s Elevate 2028 strategic plan, which focuses on accelerating the company’s financial trajectory through increased profitability and enhanced cash generation. As of June 30, 2026, one employee out of two already holds shares of Valeo, either directly or indirectly, with a current employee share ownership rate of 5.10%.

The share subscription offering will commence on September 15, 2026, and will run until September 29, 2026. Employees with at least three months of seniority, acquired consecutively or not, between January 1, 2025, and the end of the subscription period, are eligible to participate. The offering will cover a maximum of 1,200,000 shares with a nominal value of EUR 1 each.

In some countries, employees can also subscribe directly.

The subscription price for the shares was set at 11.46 euros, which is the average of the opening prices of Valeo shares over 20 trading days from August 17, 2026, to September 11, 2026, inclusive, with a 20% discount. The subscription period will allow employees to purchase shares that will bear immediate dividend entitlements and will be fully fungible with existing shares upon issuance.

The capital increase and the delivery of Valeo shares are expected to take place on November 18, 2026. An application for listing on Euronext Paris will be filed as soon as possible following the capital increase, on the same line of listing as the existing shares.

The offering is part of Valeo’s broader employee shareholding policy, which is designed to involve employees in the performance and development of the Group. The initiative is expected to strengthen the bond between employees and the company, fostering a sense of ownership and commitment.

Valeo’s commitment to making mobility safer, more sustainable, and affordable is reflected in its strategic plan. The company is leveraging its global industrial footprint and technological leadership in electrification, advanced driver assistance systems, lighting, and software to capture an increasing share of value per vehicle. With a workforce of 100,000 employees across 29 countries and 149 production plants, Valeo is well-positioned to drive innovation and growth in the automotive industry.
