TTM Technologies Plans $500 Million Senior Notes Offering for Epiq Solutions Acquisition

SANTA ANA, Calif., Sept. 10, 2026 /CourierPR/ -- TTM Technologies, Inc., a leading global manufacturer of technology products, announced its intention to issue $500 million in senior notes due in 2034 through a private offering exempt from registration under the Securities Act of 1933, as amended. The company plans to use the net proceeds from the offering, along with expected borrowings from two additional senior secured term loans, to fund the acquisition of EDS Intermediate Holding, LLC, a previously announced transaction. The company also intends to use the funds for general corporate purposes, potentially including the reduction of borrowings under its revolving credit facility to finance the acquisition of Swiss Technology Group AG.
The notes will be senior unsecured obligations of TTM and will be guaranteed by certain subsidiaries that also guarantee the company’s existing senior secured credit facilities. The offering is subject to customary market and other conditions and is being made solely to qualified institutional buyers in reliance on Rule 144A under the Securities Act of 1933 or outside the United States to non-U.S. persons in compliance with Regulation S.
TTM has set a November 15, 2026, as the Outside Date for the completion of the Epiq Solutions acquisition. If the deal is not completed by this date, or if TTM determines that the acquisition will not occur by then, the company will be required to redeem the notes at a redemption price equal to 100% of the principal amount, plus accrued and unpaid interest from the issuance date to, but excluding, the redemption date.
The proceeds from the notes and the term loans will support TTM’s strategic expansion into Epiq Solutions, an acquisition that aligns with the company’s mission to accelerate the development and deployment of advanced technology products.
