Tonner Drones has become a key shareholder in MHM Corporate, acquiring a 15% stake through the conversion of existing debt into equity. MHM Corporate recently conducted a fully underwritten capital increase at a price of €0.0110 per share, open to all investors. Tonner Drones participated in this transaction by converting 22 million shares of its existing ORA debt into equity at the same issuance price. This strategic move eliminates MHM Corporate's short-term liabilities and streamlines its capital structure, setting the stage for future growth and commercial initiatives.

Tonner Drones now holds a 15% stake in MHM Corporate, representing 22 million shares, while retaining approximately €1.0 million in ORA in the company. Post-issuance, MHM Corporate will have approximately €3.0 million in ORA liabilities, with Tonner Drones and Mr. van den Ouden each holding a significant portion. Both parties have agreed to a lock-up agreement for all their shares and ORAs, effective for a period of 90 days or until the trading price of MHM shares reaches or exceeds €0.0140, whichever occurs first.
