TML CV Holdings Secures Final Authorizations for Iveco Tender Offer

Amsterdam, 1 September 2026 – TML CV Holdings Pte. Ltd., through its wholly-owned subsidiary TML CV Holdings B.V., has obtained all necessary authorizations for its voluntary totalitarian tender offer on all common shares of Iveco Group N.V., a major vehicle manufacturer. This significant move paves the way for the formal launch of the tender offer, which is subject to further regulatory approvals.

On January 5, 2026, the Financial Conduct Authority of the United Kingdom granted authorizations for a change in control with respect to IVECO Retail Limited and IC Financial Services UK Limited. On June 24, 2026, the Bank of Spain issued a non-opposition to the acquisition of an indirect qualifying holding in TRANSOLVER FINANCE, a financial credit establishment. Lastly, the European Central Bank issued authorizations for the acquisition of indirect qualifying holdings in IC Financial Services SA and CNH Industrial Capital Europe S.A.S., both authorized in France as specialized credit institutions.

These authorizations, issued by relevant regulatory bodies, signify that all prior authorizations required by the sector regulatory framework for the tender offer have been obtained. As a result, the offer document will be published upon completion of the review by Consob (Commissione per la Stabilità degli Osservatori Bancari e Finanziari, or the Italian Financial Stability Commission).
