ThreeD Capital Disposes of 385,000 Shares in AI/ML Innovations

TORONTO, Sept. 03, 2026 /CourierPR/ -- ThreeD Capital Inc., a Canadian-based venture capital firm focused on investments in junior resources and disruptive technologies, has announced the completion of a series of transactions that resulted in the disposal of 385,000 common shares of AI/ML Innovations Inc. (AIML), representing approximately 0.13% of AIML’s total issued and outstanding common shares.
The shares were disposed of by Sheldon Inwentash, referred to as the Joint Actor, in recent weeks. Following these transactions, the combined ownership and control of ThreeD and the Joint Actor over AIML’s shares decreased by more than 2% on a partially diluted basis, as compared to the last early warning report filed.
Prior to the Dispositions, ThreeD and the Joint Actor collectively held 48,744,200 common shares, 48,555,000 common share purchase warrants that are exercisable within the next 60 days, and convertible debentures allowing for the acquisition of an additional 15,000,000 common shares and 15,000,000 common share purchase warrants. These holdings represented approximately 16.7% of AIML’s issued and outstanding common shares, or 34.4% on a partially diluted basis.
Specifically, ThreeD held 27,899,200 common shares and 21,500,000 common share purchase warrants, along with convertible debentures that could be converted into an additional 10,000,000 common shares and 10,000,000 common share purchase warrants. These shares and warrants accounted for about 9.6% of AIML’s issued and outstanding common shares, or 20.9% on a partially diluted basis.
The Joint Actor, on the other hand, held 20,845,000 common shares, 27,055,000 common share purchase warrants, and convertible debentures entitling the holder to acquire 5,000,000 common shares and 5,000,000 common share purchase warrants. These holdings amounted to approximately 7.2% of AIML’s issued and outstanding common shares, or 17.6% on a partially diluted basis.
After the Dispositions, ThreeD and the Joint Actor retained 48,359,200 common shares, 48,555,000 common share purchase warrants, and convertible debentures that allow for the acquisition of 15,000,000 common shares and 15,000,000 common share purchase warrants. Post-Dispositions, these holdings represented approximately 16.6% of AIML’s issued and outstanding common shares, or 34.3% on a partially diluted basis.
The Dispositions were completed through the facilities of the Canadian Securities Exchange. ThreeD and the Joint Actor continue to manage their holdings for investment purposes and may make further acquisitions, disposals, or maintain their current positions in AIML.
The shares were sold for a total consideration of $17,477, equivalent to approximately $0.045 per share.
