SEATTLE, Oct. 22, 2026 /CourierPR/ -- Thoughtworks Holding, Inc., a technology services company, has reached a settlement agreement with its shareholders in a long-running legal dispute. The settlement, valued at $31 million in cash, is set to resolve a stockholder class action and appraisal lawsuit.

The lawsuit, which was certified as a class action, involved a dispute between shareholders and the company’s management over the valuation of shares following a significant corporate transaction. Lead plaintiffs, including the Genesee County Employees' Retirement System, Laborers' District Council and Contractors' Pension Fund of Ohio, and Think Investments LP, represented the interests of the shareholders.

The settlement was reached after extensive negotiations between the parties involved, including the company’s management, Apax Partners LLP, and other stakeholders. The settlement hearing is scheduled for December 7, 2026, at 1:30 p.m., before The Honorable Bonnie W. David, Vice Chancellor, either in person at the Court of Chancery Courthouse, 34 The Circle, Georgetown, DE 19947, or remotely by telephone or videoconference.

Shareholders who are members of the class defined in the lawsuit will be eligible to receive a pro rata share of the settlement fund. The distribution will be made in the same manner as the payment for shares of Thoughtworks common stock upon the closing of the transaction. The settlement will be distributed on a pro rata basis to eligible class members in accordance with the proposed plan of allocation.

The settlement hearing will also address the approval of the proposed order and final judgment, the fairness and reasonableness of the settlement, and the allocation of the settlement fund. Any objections to the settlement, the proposed plan of allocation, or the fee and expense award to plaintiffs' counsel must be filed with the Register in Chancery in the Court of Chancery of the State of Delaware and delivered to lead counsel and defendants' counsel by November 12, 2026.

The settlement is expected to provide a resolution to the ongoing legal dispute and bring closure to the shareholders involved. The exact terms of the settlement, including the distribution process, will be detailed in the notice provided to eligible class members. Shareholders who have not yet received the notice can obtain a copy by contacting the Settlement Administrator or visiting the settlement website.

Thoughtworks Holding, Inc., continues to operate in the technology services sector, providing a range of software development and consulting services to clients globally. The settlement is a significant development in the company’s legal history and is expected to have a positive impact on the company’s financial standing and operations moving forward.
