Teladoc Health offers inducement awards to new CFO Michael Grasher

NEW YORK, Sept. 03, 2026 /CourierPR/ -- Teladoc Health, the global leader in virtual care, has announced the issuance of inducement awards to Michael Grasher, who will join the company as Chief Financial Officer effective September 1, 2026. The inducement awards are in line with New York Stock Exchange Rule 303A.08 and were approved by the company’s Compensation Committee.
Grasher, a seasoned finance executive, will receive a mix of restricted stock units and performance stock units as part of his employment package. Specifically, he will be granted 239,616 restricted stock units, which will vest over time. Half of the underlying shares will vest on the first anniversary of the grant date, while the remaining shares will vest in six substantially equal quarterly installments starting 15 months after the grant date.
Additionally, Grasher will receive performance stock units with a target of 239,616 shares of Teladoc Health’s common stock. These performance stock units are contingent on Teladoc Health’s performance over a three-year period. Half of any earned performance stock units will vest on the first anniversary of the grant date, with the remaining half vesting in six substantially equal quarterly installments beginning 15 months after the grant date. The performance criteria for these units include Teladoc Health’s adjusted EBITDA for the year 2026 and the company’s actual compound annual revenue growth rate during the period from 2026 to 2028.
The awards are part of Teladoc Health’s 2023 Employment Inducement Incentive Award Plan, designed to attract and retain key talent. They reflect the company’s commitment to aligning the interests of its employees with its overall financial and operational performance.
