Teck and Anglo American extend special dividend timeframe for merger
VANCOUVER, British Columbia, Sept. 01, 2026 /CourierPR/ -- Teck Resources Limited and Anglo American plc have announced details regarding the timing of a special dividend to be paid by Anglo American in connection with their proposed merger. According to the terms of the arrangement agreement, the period between the fulfillment of remaining conditions precedent to the merger and its completion will be eleven trading days. The effective time for the merger is set for 10:00 p.m. Vancouver time on the eleventh trading day.
A key condition of the merger is that Anglo American declare and pay a special dividend on its ordinary shares, amounting to approximately US$4.5 billion. Originally, the payment was scheduled to occur within 30 days of the effective date of the merger. However, both companies have agreed to extend the timeframe, with the dividend now due to be paid within 45 days of the effective date.
Teck and Anglo American have emphasized the importance of these terms in the context of their proposed merger, which is expected to significantly enhance their combined operations and strategic positioning within the global metals and mining sector. The special dividend is aimed at ensuring that Anglo American shareholders benefit from the merger, aligning their interests with those of Teck’s shareholders.
The extended timeframe for the dividend payment is intended to provide both companies with additional flexibility as they navigate the complexities of their merger. This move also aligns with their commitment to transparency and clear communication with all stakeholders involved in the merger process.
Teck and Anglo American continue to work diligently to meet all regulatory requirements and other conditions precedent to the completion of the merger. Both companies remain optimistic about the future, despite the inherent risks and uncertainties associated with large-scale corporate transactions.
