Taltson Critical Minerals Appoints CFO, Completes Private Placement

Columbia, (Newsfile Corp. - September 21, 2026) - Taltson Critical Minerals Corp. (CSE: SLZ), a Canadian mineral exploration company advancing its 100%-owned O'Connor Lake project in the South Slave region of the Northwest Territories, within the Taltson Magmatic Zone, has appointed Casey Forward as its Chief Financial Officer and added him to its board of directors. Forward, a CPA and CGA, has a long history of involvement in junior mining companies, having served in senior management roles for several public and private companies operating in Canada, the United States, and South America. He succeeds Heath Ellingham, who has resigned as a director and Chief Financial Officer to pursue other business interests. Taltson Critical Minerals Corp. is pleased to welcome Forward to the board and to his new role as CFO.
The company has also announced the successful completion of its previously announced non-brokered private placement. The private placement, which closed on September 21, 2026, involved the issuance of 2,125,000 units of the company's securities at a price of $0.04 per unit, generating gross proceeds of $85,000. Each unit consists of one common share and one share purchase warrant, where each warrant entitles the holder to purchase one additional common share at a price of $0.07 per share for a period of three years. The securities issued in the private placement are restricted from trading until January 22, 2027. The net proceeds from the private placement will be utilized for general working capital.
One insider of the company, who is also a director, participated in the private placement by purchasing 500,000 units for proceeds to the company of $20,000, which comprises 23.5% of the total amount raised. This participation is considered a "related-party transaction" under the Multilateral Instrument 61-101 - Protection of Minority Security Holders in Special Transactions (MI 61-101). The Company has relied on exemptions from the formal valuation and minority shareholder approval requirements of MI 61-101, as neither the fair market value (as determined under MI 61-101) of the subject matter of, nor the fair market value of the consideration for, the transaction, insofar as it involved the related party, exceeded 25% of the Company's market capitalization (as determined under MI 61-101). The board of directors reviewed and approved the private placement subscription by the insider. The Company did not file a material change report more than 21 days before the expected closing of the private placement as the date of closing was not previously known.
