ATHENS, Greece, Star Bulk Carriers Corp., an international maritime shipping company based in the Marshall Islands, announced on September 4, 2026, that it has begun the process of admitting its common shares to parallel listing on the Main Market of Euronext Athens, and simultaneously launching an equity offering in Greece. The company aims to raise up to €112.2 million through the issuance of 4,400,000 new common registered voting shares.

According to the company's chief executive officer, Petros Pappas, his family has expressed interest in participating in the equity offering, with a potential investment of up to €6.0 million, contingent on the final terms and conditions.

Star Bulk Carriers received the necessary regulatory approvals in Greece for both the admission to parallel listing and the equity offering. The new shares will trade under the same ticker symbol, "SBLK," as the company's existing shares listed on the Nasdaq Global Select Market since December 2007. The company expects the new shares to be admitted to trading on Nasdaq on the same basis as the existing shares.

The net proceeds from the issuance of the new shares, calculated as the gross proceeds less the estimated offering and admission expenses of approximately €7.3 million, are expected to amount to approximately €104.9 million. The company also noted that it had canceled 313,894 treasury shares, which were previously repurchased on the NASDAQ during the second quarter of 2026.

Star Bulk Carriers cautioned that the timetable for the offering and the admission to trading on Euronext Athens is indicative and subject to change. The company will inform investors of any changes through a public announcement.

In a related development, the company disclosed that it had canceled 313,894 treasury shares, which were repurchased on the NASDAQ during the second quarter of 2026. This action underscores the company's commitment to managing its capital structure.

The company's forward-looking statements, including those regarding the expected net proceeds and the admission to Euronext Athens, are subject to risks and uncertainties. Market conditions, disruptions to cross-border trading, and other technical issues could impact the outcome.
