Star Bulk Carriers Corp. has announced the successful completion of a public offering of new, common, registered, and voting shares. The offering, facilitated by AXIA Ventures Group Ltd. and National Bank of Greece S.A., resulted in the issuance of 4,400,000 new shares.
The final offering price was set at €24.50 (US$ 28.40) per share, the same for both qualified and retail investors who participated in the public offering and the parallel offering. The total valid demand for the shares amounted to 26,788,512, resulting in the offering being oversubscribed by over six times.
According to the press release, the shares will be listed on the Main Market of the Regulated Securities Market of Euronext Athens, marking a significant milestone for the company. The allocation of the new shares by investor category will be detailed on Tuesday, September 15, 2026.
The offering was conducted in compliance with Regulation (EU) 2017/1129, ensuring that the shares are not registered under the U.S. Securities Act of 1933, as amended. The shares are being offered to non-U.S. persons outside the United States in offshore transactions in reliance on Regulation S under the Securities Act.
AXIA Ventures Group Ltd. and National Bank of Greece S.A. acted as the lead advisor and joint coordinators and bookrunners for the public offering. The offering price was converted into U.S. dollars based on the Euro/U.S. dollar exchange rate as of September 11, 2026, with €1 equating to 1.1592 USD.
