HONG KONG, September 23, 2026 /CourierPR/ -- SouthGobi Resources Ltd., listed on the Hong Kong Stock Exchange (HK:1878) and the TSX Venture Exchange (TSX-V:SGQ) ("SouthGobi" or the "Company"), has announced an update regarding its upcoming special meeting of shareholders. The meeting, originally scheduled for Thursday, August 27, 2026, in Vancouver, British Columbia (and Friday, August 28, 2026, in Hong Kong), has been postponed.
According to the company, the postponement is due to the need for additional time to finalize the Management Proxy Circular and related materials for the meeting, specifically to include disclosures related to the March 2026 Deferral Agreement. The company also needed to obtain the necessary acceptance from the TSX Venture Exchange for these materials. As a consequence of the postponement, the parties to the March 2026 Deferral Agreement have agreed that the requisite shareholder approval of the agreement shall be extended to December 31, 2026.
The company stated that it will make a further announcement regarding the rescheduled date of the meeting and the record date as and when appropriate. The original announcement of the special meeting was made on June 12, 2026, with subsequent updates on July 8, 2026, and July 31, 2026. These updates were collectively referred to as the "Announcements."
The postponement affects the company's timeline but does not alter its commitment to transparency and shareholder engagement. SouthGobi, which owns and operates its flagship Ovoot Tolgoi coal mine in Mongolia, continues to focus on its operations and strategic initiatives.
The company's lead director, Yingbin Ian He, emphasized the importance of thorough preparation and compliance with regulatory requirements.
As of the date of this announcement, the executive directors of the company are Ruibin Xu, Chonglin Zhu, and Chen Shen; the independent non-executive directors are Yingbin Ian He, Jin Lan Quan, and Fan Keung Vic Choi; and the non-executive directors are Zhu Gao and Zaixiang Wen.
The company's operations are centered around its coal mines in Mongolia, and it produces and sells coal to customers in China. SouthGobi's ongoing efforts to secure shareholder approval and finalize meeting materials reflect the company's dedication to maintaining robust corporate governance and transparent communication with its stakeholders.
The postponement of the meeting and the extension of the record date underscore the company's commitment to ensuring that all necessary disclosures are accurate and complete. SouthGobi remains focused on its strategic initiatives and operations, despite the temporary delay in the shareholder meeting.
