Skyworks Extends Deadline for Qorvo Note Exchange Offers

IRVINE, Calif., Sept. 25, 2026 /CourierPR/ -- Skyworks Solutions, Inc., a leading developer and provider of analog and mixed-signal semiconductors for various applications, announced an extension of the expiration date for its exchange offers related to Qorvo’s senior notes. The company extended the deadline for holders of Qorvo’s 4.375% Senior Notes due 2029 and Qorvo’s 3.375% Senior Notes due 2031 to exchange their notes for up to $850 million in new 4.375% Senior Notes due 2029 and up to $700 million in new 3.375% Senior Notes due 2031, respectively.
The previous deadline for the exchange offers was set for 5:00 p.m., New York City time, on September 25, 2026. Skyworks has now further extended the deadline to 5:00 p.m., New York City time, on October 2, 2026. This extension is subject to further modification or early termination by the company. The terms and conditions of the exchange offers remain unchanged, and holders of Qorvo Notes who have already tendered their notes do not need to re-tender them. Those who have not yet tendered or have withdrawn their notes may do so until the new expiration date.
The exchange offers are part of a broader transaction where Qorvo will merge with and into a subsidiary of Skyworks. The subsidiary will continue as the surviving entity and a wholly-owned subsidiary of Skyworks. The closing of the Mergers is not conditioned upon the success of the exchange offers, and the settlement date for the exchange offers is expected to occur no earlier than the second business day after the closing date of the Mergers.
