KISTA, Sweden, Oct. 22, 2026 /CourierPR/ -- Sivers Semiconductors AB, a company that develops energy-efficient photonics and wireless solutions, made several key decisions at its Extraordinary General Meeting held on October 22, 2026. The meeting focused on strategic initiatives aimed at enhancing employee engagement and maintaining financial flexibility.
First, the company decided to change its auditing firm. Sivers Semiconductors AB terminated its long-standing relationship with Deloitte AB and appointed Ernst & Young AB as its new auditor. This change will be effective until the close of the next Annual General Meeting.
Second, the company introduced a long-term incentive program (P11) for its employees. This program, designed to align employee interests with those of the company, will grant a total of 7,280,000 stock options. These options will entitle the recipients to purchase shares, representing approximately 2.0 percent of the company's shares and votes after dilution. The stock options will vest and can be exercised between the third and sixth anniversary of the grant date, with the exercise price set at 110 percent of the volume-weighted average price of the company's share on Nasdaq Stockholm during the five trading days immediately preceding the grant date.
Third, the company authorized its Board of Directors to issue up to 7,280,000 Series C shares. These shares will be subscribed for by a bank or securities company at a subscription price corresponding to the quota value. The purpose of this authorization is to secure the delivery of shares to participants under the company's outstanding incentive programs and to cover related social security charges.
Lastly, the company granted the Board of Directors the authority to repurchase all outstanding Series C shares at a price corresponding to the quota value. Additionally, the Board was authorized to transfer its own ordinary shares on Nasdaq Stockholm or outside the exchange, within the applicable price range, to a bank or securities company with deviation from the shareholders' preferential rights. This action is aimed at securing the payment of social security charges related to the company's outstanding incentive programs.
These strategic moves underscore Sivers Semiconductors' commitment to fostering employee engagement and maintaining operational flexibility. The company continues to focus on delivering innovative solutions in the areas of AI datacenters, satellite communication, defense, and telecommunications, while also prioritizing sustainability and performance.
