Silver Crown Acquires 1% NSR Royalty on Madre Sierra Deposit

TORONTO, ON, Silver Crown Royalties Inc., a publicly traded silver royalty company, announced on September 3, 2026, that it has entered into a definitive royalty purchase and sale agreement with the holder of a third existing privately held 1% net smelter return (NSR) royalty on Titiminas Silver Inc.’s Madre Sierra deposit in Jauja, Peru. The agreement will see Silver Crown acquire the royalty for a total consideration of $3,000,000, comprised of $2,000,000 in cash and $1,000,000 worth of units issued to the seller.

The cash component will be payable at the closing of the transaction, scheduled to occur by October 31, 2026, subject to customary conditions precedent and the approval of Cboe Canada. The $1,000,000 in equity component will be structured as the issuance of 38,401 units, each consisting of one common share of Silver Crown and one-half of one common share purchase warrant. The price per unit will be set at the volume-weighted average trading price of Silver Crown’s common shares on Cboe Canada in the five trading days preceding the agreement date.

Additionally, Silver Crown will issue an equal amount of units if it receives its first royalty payment following at least 30 days of continuous production at a rate of at least 70 tonnes per day. The price per unit for this contingent consideration will be based on the five-trading-day volume-weighted average trading price of the common shares immediately before the trigger date.

Once this transaction is complete, we plan to move forward with our silver-only approach on Titiminas’ Madre Sierra project. Over time, we believe this royalty will become a significant contributor to our silver production.”

Silver Crown currently holds six silver royalties, three of which are revenue-generating. The company’s business model provides investors with exposure to precious metals, offering a natural hedge against currency devaluation while mitigating the impact of production cost inflation. Silver Crown aims to minimize the economic burden on mining projects while maximizing returns for shareholders.

The transaction is subject to the approval of Cboe Canada and the registration of the royalty on title to the Project. Closing is expected to occur on or before October 31, 2026.

This acquisition marks a significant step in Silver Crown’s portfolio expansion and aligns with its strategic focus on silver-only royalties.
