Shell purchases shares in ongoing buy-back program

Shell plc purchased shares on the market on August 28, 2026, as part of its ongoing share buy-back program. The company announced the purchase as part of its on- and off-market limbs of the buy-back initiative, which was previously disclosed on July 30, 2026.

According to the announcement, Goldman Sachs International will independently manage the trading decisions for the buy-back program from July 30, 2026, to October 23, 2026. The on-market limb of the buy-back program will operate within predefined parameters, as per the company's general authority to repurchase shares on the market. The off-market limb will follow the company's general authority to repurchase shares off the market, as approved by shareholders and outlined in the off-market buyback contract.

The transactions are being conducted in accordance with Chapter 9 of the UK Listing Rules and Article 5 of the Market Abuse Regulation 596/2014/EU, which was "onshored" into UK law following the Brexit transition period. Additionally, the program adheres to the Commission Delegated Regulation (EU) 2016/1052, as "onshored" into UK law through the same legal mechanisms.

Goldman Sachs International will provide detailed information on individual trades made on behalf of Shell plc as part of this buy-back program.
